1. What SemiDown is

SemiDown operates a directory of facilities and tools that help users find services. Some features allow authorized representatives to claim and manage facility listings.

2. Your account & responsibilities

You must be able to form a binding contract to use the Services. You're responsible for your account, credentials, and activity, and for keeping your information accurate and up to date.

3. Content you submit

You may submit content, including facility information and verification documents. You retain ownership of your content. You grant SemiDown a non-exclusive, worldwide, royalty-free license to host, store, display, and use your content as needed to operate, secure, and improve the Services, including verification and fraud prevention. You represent you have the necessary rights and that your submissions are accurate and lawful.

4. Facility claims

If you claim a facility, you must follow the Claim Verification Policy. You may submit any two proofs from the accepted list, and you may redact unrelated PII (e.g., account numbers and dollar amounts) provided the business name and facility address remain visible. We typically review within 2–3 business days; this is a target, not a guarantee. Outcomes include Approve, Needs More Information, or Deny.

5. Prohibited conduct

You agree not to:

• submit false, fraudulent, or misleading information;
• infringe or misuse others' rights;
• attempt to bypass security or abuse rate limits;
• scrape or mass-harvest data without written permission; or
• use the Services for unlawful purposes.

6. Moderation & enforcement

We may remove or edit content and may suspend or terminate access for violations or risk to users/businesses. We may remove listings or revoke verification if submissions prove inaccurate or cannot be re-verified.

7. Privacy & data handling

Personal information is handled per our Privacy Notice [coming soon] and the Claim Verification Policy. We apply data minimization, short-lived presigned URLs for uploads, access controls limited to Admin/Claims roles, malware scanning, and time-bound retention.

8. Disclaimers

The Services are provided "as is" and "as available." Directory data and third-party information may be incomplete or inaccurate. You use the Services at your own risk.

9. Limitation of liability

To the fullest extent permitted by law, SemiDown is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill. Our aggregate liability arising out of or related to the Services will not exceed the greater of (a) amounts you paid to us in the 12 months prior to the claim or (b) USD $100.

10. Indemnity

You will indemnify and hold harmless SemiDown and its affiliates from claims arising out of (i) your content; (ii) your use of the Services; or (iii) your breach of these Terms.

11. Changes & termination

We may update these Terms and will use reasonable means to notify you of material changes. Continued use after the effective date constitutes acceptance. We may suspend or discontinue the Services at any time.

12. Governing law & venue

These Terms are governed by the laws of [Province/State], [Country], and the courts in [City, Province/State] have exclusive jurisdiction.
